01This agreement

These terms are an agreement between you and Vertex Software Solutions, First Floor, Ashirwad Bhawan, Near Anushka Law College, Janakpuri, Transport Nagar, Udaipur, Rajasthan 313003 (“Vertex”, “we”, “us”). By using this website or our services you accept them. Some products have their own terms (for example LiquorHub), which apply together with these.

02Our services

We design, build, host and support websites, web applications, Android and iOS apps, Windows software and custom software, and we offer live, ready-to-use solutions such as e-commerce, POS, ERP, CRM, HRMS, hotel, healthcare and education software.

The exact scope, price, timeline and support for each job are set in a written quotation, proposal or agreement. If it differs from these terms, the written quotation or agreement wins.

03Quotes and payments

• Quotes are valid for the period written on them.
• Payments are due as per the milestones in the quote. GST and other taxes are extra where they apply.
• If a payment is late, we may pause work, and hosted services may be limited until it is cleared.
• Third-party costs, such as domains, hosting, app store developer accounts, SMS or WhatsApp credits and paid plugins, are charged as agreed in the quote.

04What we need from you

• Content, approvals, feedback and access (such as domain, hosting, Google Play and Apple developer accounts) on time. Delays on these move the timeline.
• The right to use everything you give us: text, images, logos and data.
• Any licence or permission your business itself needs to operate.

05Changes to the scope

New features or changes beyond the agreed scope are quoted separately and start once you approve them.

06Delivery and acceptance

We deliver work on a test link, a live server or the app stores. Please check each delivery and tell us about any problems within the review period in the quote; after that the delivery is treated as accepted. Publishing on Google Play and the App Store depends on their review, which we cannot guarantee, but we will fix anything they ask for that is within our scope.

07Ownership

• Once paid in full, you own the custom design and code we wrote specifically for you, unless the quote says otherwise.
• We keep ownership of our existing products, frameworks, libraries and live solutions. When they are part of your software, you get a licence to use them as set out in the quote, either on subscription or for life.
• Third-party components remain under their own licences.
• We may mention your project in our portfolio unless you ask us not to.

08Subscriptions to our live apps

Monthly or yearly plans give access for the paid period and renew only when you pay again. If a plan ends, access may be limited, but you can always ask for an export of your data.

09Support and warranty

We fix defects in our own work during the support period written in the quote. After that, support and updates are available under an annual maintenance or support plan.

10Confidentiality

We keep your business information and data confidential and use it only to provide our services. You agree to keep our pricing, code and non-public product details confidential.

11Liability

We build carefully and test our work, but software can have errors. Please check important figures, such as tax, accounts and statutory reports, before relying on them. We are not liable for indirect losses such as lost profit or business. Our total liability for any claim is limited to the amount you paid us for the specific service in the 12 months before the claim.

12Use of this website

The content of this website is for general information. Do not misuse it, try to break its security, or copy its design or content without permission. Links to other websites are for convenience; we are not responsible for their content.

13Ending the work

Either side can end a project in writing if the other seriously breaks these terms and does not fix it within 15 days of notice. You pay for the work done up to that date, and we hand over that work once paid.

14Law and disputes

These terms are governed by the laws of India. We will first try to settle any dispute by talking. If that does not work, the courts at Udaipur, Rajasthan have exclusive jurisdiction.
